Do I need both Terms of Use and Master Service Agreement (MSA)?

Context

When managing compliance documentation, companies often question whether they need both Terms of Use for their website and a Master Service Agreement (MSA) for their customers, and what the difference is between these documents.

Answer

You do not need to have both Terms of Use and MSA - you can choose to implement either or both depending on your business needs:

  • Terms of Use: This document outlines the rules and guidelines for using your website or online platform. It's typically displayed on your website.

  • Master Service Agreement (MSA): This is a formal contract signed with your customers that governs the business relationship and service delivery.

If you already have signed contracts (MSA) with each of your customers, you can exclude the Terms of Use requirement in your compliance framework. The MSA provides sufficient legal coverage for your business relationships.

To exclude Terms of Use from your compliance requirements:

  1. Navigate to your compliance framework

  2. Locate the Terms of Use requirement

  3. Select to exclude this requirement

  4. Ensure you have properly documented your MSA compliance instead
